Acceptable Use
Policy

This Acceptable Use Policy ("AUP" or "Policy") governs the use of all voice, data, messaging, SIP trunking, wholesale termination/origination, and related telecommunications services (collectively, the "Services") provided by Newclock Communications LLC ("Newclock Communications," "Newclock," "we," "us," or "our"). This Policy applies to all customers, resellers, carriers, and end users who access or use the Services (collectively, "Customer" or "you"). By ordering, activating, or using the Services, you agree to comply with this AUP and to ensure that every person or system using the Services under your account does the same.

1. Purpose and Scope

This AUP exists to protect the integrity, security, and quality of the Newclock Communications LLC network, to safeguard our customers and the broader public telephone and data networks, and to ensure that use of the Services remains lawful, ethical, and consistent with industry standards. This Policy supplements, and does not replace, the Master Services Agreement, applicable tariffs, and any service-specific terms between you and Newclock Communications LLC. In the event of a conflict, the more restrictive provision governs unless the underlying agreement expressly states otherwise.

2. Prohibited Activities

You agree that you will not use the Services, and will not permit any third party to use the Services, to engage in any of the following:

a. Illegal or Fraudulent Activity

  • Any use that violates local, state, federal, or international law, including fraud, identity theft, extortion, or trafficking in illegal goods or services.
  • Transmitting, storing, or facilitating access to content that is unlawful, defamatory, obscene, or that exploits or endangers minors.
  • Engaging in or facilitating toll fraud, subscription fraud, PBX hacking, IRSF (International Revenue Share Fraud), wangiri (one-ring) schemes, or arbitrage designed to exploit interconnection or termination rates.

b. Spam, Robocalling, and Unsolicited Communications

  • Sending unsolicited bulk or commercial messages (SMS, MMS, email, or voice) in violation of the Telephone Consumer Protection Act (TCPA), the CAN-SPAM Act, the Telemarketing Sales Rule, or equivalent laws in the jurisdiction of origin or termination.
  • Originating illegal robocalls or robotexts, or transmitting traffic on behalf of any customer who has not completed applicable robocall mitigation, consent, or registration requirements.
  • Falsifying or manipulating Caller ID, Automatic Number Identification (ANI), or Charge Number information, including in a manner inconsistent with STIR/SHAKEN caller ID authentication requirements, except where explicitly authorized by law (e.g., authorized spoofing for legitimate business purposes).

c. Network and Service Abuse

  • Interfering with, disrupting, or degrading the Newclock Communications LLC network, switches, servers, or the services of any other carrier or customer.
  • Launching or facilitating denial-of-service (DoS/DDoS) attacks, packet flooding, or any activity intended to overwhelm network or system resources.
  • Introducing viruses, malware, worms, or other malicious code into the network or any connected system.
  • Reverse-engineering, probing, or scanning Newclock Communications LLC systems without authorization, or attempting to circumvent authentication, encryption, or rate-limiting controls.

d. Voice and Messaging Traffic Misuse

  • Routing traffic through unauthorized gateways, least-cost routing schemes designed to disguise traffic type or origin, or false signaling of call classification (e.g., disguising international traffic as domestic, or wholesale traffic as retail).
  • Terminating traffic that has not been accurately and truthfully identified in call detail records or signaling, including inaccurate Jurisdiction Information Parameter (JIP) or originating carrier identification.
  • Any practice that degrades voice quality, call completion rates, or the experience of other users on the network, including excessive short-duration or zero-duration call patterns indicative of fraud or testing abuse.

e. Unauthorized Access and Security Violations

  • Attempting to gain unauthorized access to any account, system, or network belonging to Newclock Communications LLC or any third party.
  • Sharing account credentials, IP authentication ranges, or SIP trunk access with unauthorized parties, or permitting use of your account by anyone other than authorized users.

f. Impersonation and Misrepresentation

  • Impersonating any person, business, or government entity, or misrepresenting your identity, affiliation, or authority to use the Services.
  • Falsifying registration, KYC (Know Your Customer), or traffic-certification information provided to Newclock Communications LLC.

g. Intellectual Property and Third-Party Rights

  • Using the Services in a manner that infringes the intellectual property, publicity, or privacy rights of any third party.

3. Customer Responsibilities

You are responsible for all use of the Services under your account, whether by you, your employees, your customers, or any other party you permit to access the Services. You agree to:

  • Maintain reasonable security measures to protect account credentials, SIP trunk authentication, and network access from unauthorized use.
  • Actively monitor traffic on your account for signs of fraud, compromise, or policy violations, and promptly investigate anomalies.
  • Ensure that any traffic you originate or terminate through the Services is accurately labeled and complies with applicable robocall mitigation, consent, and caller ID authentication requirements.
  • Promptly notify Newclock Communications LLC at the abuse contact below upon becoming aware of any suspected violation of this Policy, whether by you or a third party using your account.
  • Cooperate with Newclock Communications LLC in any investigation of suspected abuse, fraud, or violation of this Policy.

4. Monitoring and Enforcement

Newclock Communications LLC reserves the right, but does not assume the obligation, to monitor traffic and account activity to detect violations of this AUP, protect network integrity, and comply with legal or regulatory requirements. Where we reasonably believe a violation has occurred or is occurring, we may take any of the following actions, with or without prior notice, depending on the severity and urgency of the issue:

  • Investigate the suspected violation and request supporting information from the Customer.
  • Issue a written warning and require corrective action within a specified time frame.
  • Throttle, filter, or block specific traffic, numbers, or routes associated with the violation.
  • Suspend the affected account or Service, in whole or in part, until the issue is resolved.
  • Terminate the account, where the violation is severe, repeated, or presents an immediate risk to the network or to other customers.
  • Report the activity to law enforcement, industry traceback groups (e.g., the USTelecom Industry Traceback Group), regulators, or other carriers, and pursue any available legal remedies.

Newclock Communications LLC will make reasonable efforts to notify the Customer of enforcement action taken under this section, except where prior notice would be impractical, would compromise an investigation, or would increase risk of harm to the network or third parties.

5. Compliance with Applicable Law and Industry Requirements

You agree to comply with all applicable telecommunications laws and regulations in connection with your use of the Services, including but not limited to FCC rules on robocall mitigation and caller ID authentication (STIR/SHAKEN), the TCPA, CALEA lawful intercept obligations where applicable, and any state-level telemarketing or consumer-protection statutes. Where Newclock Communications LLC is required to file, certify, or report information to a regulator (such as the FCC Robocall Mitigation Database) based on traffic you originate, you agree to provide accurate and timely information to support that obligation.

6. Reporting Abuse

Suspected violations of this AUP, including spam, fraud, network abuse, or unwanted robocalls originating from traffic associated with Newclock Communications LLC, should be reported to our abuse desk using the contact information in Section 8. We investigate all credible reports and will take appropriate action consistent with this Policy.

7. Changes to This Policy

Newclock Communications LLC may modify this AUP from time to time to reflect changes in our services, industry standards, or legal requirements. The revised Policy will be posted with an updated effective date, and continued use of the Services after such changes constitutes acceptance of the revised AUP. Material changes affecting existing obligations will be communicated to active customers in accordance with the applicable Master Services Agreement.
